Re: First Addendum to the Prospectus (the Addendum) of Dimensional Funds plc (the Company)
Dear Shareholder,
We are writing to you as a shareholder in the Company to notify you of a number of changes which the Company proposes to make by way of an Addendum to the Prospectus of the Company, a copy of which is available for inspection (free of charge) at the offices of Dimensional Fund Advisors Ltd.
1. Change of name of three Funds of the Company
The Directors have resolved that:
(i) Multi-Factor Conservative Fund be re-named World Allocation 40/60 Fund;
(ii) Multi-Factor Balanced Fund be re-named World Allocation 60/40 Fund; and
(iii) Multi-Factor Equity Fund be re-named World Equity Fund.
2. Investment Policies – Multi-Factor Conservative Fund (to be renamed the World Allocation 40/60 Fund)
A paragraph will be added to the Investment Policies of this Fund to clarify certain asset allocation targets in the portfolio which the Investment Manager will seek to achieve, as follows:
“Generally, the Fund invests its assets in equity securities in global markets and fixed income securities in developed countries to achieve an allocation of approximately 40% to 80% (with a target allocation of approximately 60%) of its net assets to fixed income securities and 20% to 60% (with a target allocation of approximately 40%) of the Fund’s net assets to domestic and international equity securities. Periodically the Investment Manager will review the allocations for the Fund in the underlying securities and may adjust allocations to the underlying securities or may add or remove securities in the Fund without notice to shareholders.”
Registered in Ireland as an open-ended variable capital investment company with limited liability.
Companies Registration Office Number 352043. Registered office as above.
Directors: Arthur Barlow (American), Peter Blessing, David G. Booth (American), Dermot S. L. Butler (Canadian, Irish resident),
David Martin (American), Catherine L. Newell (American), Gerard O’Reilly, Eduardo Repetto (American),
John Romiza (American) and David Salisbury (British).
3. Investment Policies – Multi-Factor Balanced Fund (to be renamed the World Allocation 60/40 Fund)
A paragraph will be added to the Investment Policies of this Fund to clarify certain asset allocation targets in the portfolio which the Investment Manager will seek to achieve, as follows:
“Generally, the Fund invests its assets in equity securities in global markets and fixed income securities in developed countries to achieve an allocation of approximately 40% to 80% (with a target allocation of approximately 60%) of the Fund’s net assets to domestic and international equity securities and 20% to 60% (with a target allocation of approximately 40%) of its net assets to fixed income securities. Periodically the Investment Manager will review the allocations for the Fund in the underlying securities and may adjust allocations to the underlying securities or may add or remove securities in the Fund without notice to shareholders.”
4. Investment Policies – Global Short-Term Investment Grade Fixed Income Fund
The following paragraph will be added to the Investment Policies of this Fund to amend limits in respect of investment in other collective investment schemes, as follows:
“In addition to investment in investment grade instruments issued by governmental, quasi-governmental and corporate issuers, investments held by the Fund may include collective investment schemes. No more than 5% of the Fund’s net assets may be invested in collective investment schemes, which will give exposure to the type of instruments mentioned above and for the short-term investment of un-invested cash; however, the Investment Manager may increase this limit to 10% of the Fund’s net assets upon prior notice to the Shareholders of the Fund. In addition, no more than 10% of the Fund’s net assets may be invested in securities not listed, traded or dealt in on Recognised Markets.”
Conclusion
We do not consider the above changes to be material and so are not seeking shareholder approval for any of the changes and therefore no action is required by you. However, we do want to bring the changes to your attention prior to their implementation.
The above changes will take effect on the date of formal noting by the Central Bank of Ireland of the Addendum reflecting the changes. Shareholders will be advised that the changes have taken effect by way of an announcement on the Irish Stock Exchange.
If you have any questions or require any further clarification on this matter, please contact your usual contact at Dimensional.
We thank you for your continued support of the Company.
Yours faithfully,
